Directors duties covered.

The type of matters covered by our members include directors duties to –

  • Act within powers;
  • Promote the success of the company;
  • Exercise independent judgement;
  • Exercise reasonable care skill and diligence;
  • Avoid conflicts of interests;
  • Not to accept benefits from third parties;
  • and to declare any interest in a proposed transaction or arrangement.

We are also able to assist at a reasonable cost with legal advice concerning offences under the Companies Act 2006, and where a client is alleged to have breached his/her general duties as a company director (whether the company is solvent or not). This applies whether the company is a large FTSE company or a small or medium sized business. We also refer to the Economic Crime and Corporate Transparency Act 2023.

Breaches of the Companies Act 2006.

Advice on director’s liabilities and defences to any breaches of the UK Companies Act 2006 can be provided as well as legal advice on transactions which may require the approval of members of a company registered in England and Wales. Representation at court may also be arranged where needed.

Global and international companies which are based in Jersey, Guernsey, BVI, Cayman Islands and the Commonwealth are welcome to seek advice on directors duties in English Law.
