Barristers at Tennyson represent clients in litigation and advisory work connected with directors duties under the Companies Act 2006. We are often consulted by company directors both where the company is financially solvent but also where the company is on the verge of insolvency or insolvent. Clientele have ranged from small and medium sized businesses to large companies both private and public.

We put our clients at the centre of what we do. As examples of the type of matters covered by our members they include directors duties to –

  • Exercise independent judgement;
  • Exercise reasonable care skill and diligence;

  • and to declare any interest in a proposed transaction or arrangement.

We are also able to assist at a reasonable cost with legal advice concerning offences under the Companies Act 2006, and where a client is alleged to have breached his/her general duties as a company director (whether the company is solvent or not). This applies whether the company is a large FTSE company or a small or medium sized business.

Advice on director’s liabilities and defences to any breaches of the UK Companies Act 2006 can be provided as well as legal advice on transactions which may require the approval of members of a company registered in England and Wales. Representation at court may also be arranged where needed.

International companies operating in the international/global market place are welcomed where advice is needed which relates to the law of England and Wales particularly from companies operating in the UK overseas territories including Jersey, Guernsey, BVI, the Cayman Islands, and UK commonwealth which have a litigious dispute in the jurisdiction of England and Wales.
